Marimaca Copper Corp. completes a C$409M global treasury and secondary offering

On February 26, 2026, Marimaca Copper Corp. (“Marimaca”) announced the closing of its previously announced C$409 million global offering (the “Global Offering”), comprised of a C$257 million Canadian treasury and secondary public offering (the “Canadian Offering”) of common shares of Marimaca (the “Common Shares”) and a A$157 million (C$152 million) Australian secondary offering (the “Australian Offering”) of CHESS depositary interests of Marimaca (the “CDIs”). 

The Canadian Offering was conducted on a commercially reasonable efforts agency basis, pursuant to which Marimaca issued 13,650,000 Common Shares at a price of C$10 per Common Share for aggregate gross proceeds of $136.5 million and certain shareholders of Marimaca sold 12,049,087 Common Shares at a price of C$10 per Common Share for aggregate gross proceeds of approximately C$120.5 million. 

The Australian Offering was completed as a brokered placement of CDIs in Australia and select other jurisdictions, excluding Canada, pursuant to which certain shareholders of Marimaca sold 15,200,913 CDIs at a price of A$10.35 per CDI for aggregate gross proceeds of approximately A$157 million (approximately C$152 million). 

Beacon Securities Limited and BMO Nesbitt Burns Inc. (the “Canadian Co-Lead Agents”), together with Euroz Hartleys Limited and Canaccord Genuity (Australia) Limited (the “Australian Co-Lead Agents”, and together with the Canadian Co-Lead Agents, the “Joint Lead Managers”), acted as co-lead agents and joint bookrunners to the Global Offering. The Canadian Co-Lead Agents acted on behalf of a syndicate of agents, including National Bank Financial Inc., ATB Capital Markets Corp., Paradigm Capital Inc. and Raymond James Ltd. for the Canadian Offering.
